GENERAL TERMS OF AGREEMENT - WHOLESALE

To qualify for wholesale purchases, you must be a valid retail business and by agreeing to our terms and conditions you certify that you are such. You are only authorized to sell through the retail store that you have listed.

Secondary stores, as well as website and online sales must receive prior written approval.

All orders placed by The Buyer are subject to these Terms and Conditions and must be adhered to.These Terms and Conditions take precedence over any other terms and conditions which the Buyer might seek to impose. No variation of these Terms and Conditions is permitted unless accepted by AYB in writing.

PAYMENT INFORMATION

Email your purchase order to Dylan@allyallball.com with shipping and billing information. We will send you a digital invoice. We accept payments via credit card, Google / Apple Pay, Bank Transfers. Goods will be held for 7 days pending payment. 

50% of the order must be pre-paid. The balance of the order (plus the cost of shipping) must be paid within 21 days of reception of the goods. Net 21 terms will only be offered upon approval to customers who have submitted satisfactory credit references.

Failure to respect this deadline will incur an additional cost of 2% of the total order for each days of delay increasing by an additional 2% per day every 15 days thereafter. Terms will be reverted to pre-payment if the account is overdue more than twice in a fiscal year. AYB retains the right to terminate any delivery or suspend further deliveries in the event the buyer’s financial condition becomes unsatisfactory (in the absolute discretion of AYB).

SHIPPING & HANDLING:

All shipping charges will be added to the invoice for each PO. Goods will ship within 7 to 14 days of payment. We use USP or USPS, based on cost.

AYB reserves the right to increase shipping charges if Couriers increase. AYB will notify The Buyer in writing.

We do have insurance on all shipments. If your shipment is damaged in transit you agree to contact AYB within 3 days of delivery and we will process a replacement order. 

Risk and responsibility for the Goods shall pass to you from the point at which we or the courier first attempt delivery, whether or not you (or any nominated alternative) take delivery or not.

Claims for non-delivery must be made within 7 days of the estimated delivery date.

DUTIES/TAXES/FEES:

All export and import documentation, licenses, duties, taxes or other obligations or costs relating to the delivery of the Goods shall be the Buyer’s responsibility.

RETURNS & CLAIMS:

You must inspect the goods upon completion of delivery. Items which are damaged, faulty, missing or otherwise materially different from the specification must be reported in writing to AYB with photographic evidence within 3 working days of receipt of delivery.

Please email Dylan@allyallball.com with full details of any claim. All returned goods must be unopened, with seals intact, and in their original packaging, or the value of the goods will not be refunded.  We will review your claim within 3 business days, and we will agree in writing if we authorize the damaged/faulty goods to be returned, replaced or refunded. 

If a return is agreed, you must return the goods in their original condition, within ten (10) working days of receiving your authorization. If you have returned the Goods to us because they are faulty or damaged, we will either offer you a replacement Good or refund the full price of the defective Good. We will make any refund to you in the manner in which payment was made by you to us.

Returns are subject to 20% restocking fee. Returned goods remain the responsibility of the customer until received by AYB.

COPYRIGHT & INTELLECTUAL PROPERTY:

All of the designs, products, and content within and any materials made available on the website are the sole property of AYB. The website, designs, products, images and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of AYB. You hereby agree not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the advance, express written consent of AYB.

BRAND IMAGE: (too tight. Would need to provide own standards/branding guidelines)

The Buyer will at all times uphold the brand image of AYB and ensure that:

• All Goods that are available to customers in person are clearly displayed and maintained with a high standard.
• The Buyer may only use their own product images with consent from AYB.
  
  
  
• All of AYB’s Goods that are available online in any form are listed using AYB’s official images, which are available on request.
• The Buyer may use their own images for social posts if they uphold AYB’s brand image.
• AYB reserves the right to require The Buyer to remove or change any image.

PRIVACY POLICY:

Any personal information that you provide to us including your name, address, telephone number and email address will be treated confidentially and will not be released, sold or rented to any entities or individuals outside of AYB. [AYB does not collect or record any credit card details you may provide when purchasing products from the website.

Consignment: Can be negotiated. AYB’s wholesale price will increase to $55. 

The Company may offer at its discretion an option for The Buyer to place its first order on a Sale or Return basis. In the event of such agreement the order is limited to the maximum number of units or order value offered by The Company at the time with the addition of the following terms:

Sale or Return prices are different from standard wholesale prices and The Buyer will be advised of these at the time of ordering.

Sale or Return orders are valid for 30 days. The Buyer is responsible for notifying The Company in writing by the end of the 30 days if it intends to return any or all the order. The confirmation must also detail the items being returned.

After 30 days The Buyer will be invoiced without prior notice for either the whole order if no notification to returns has been received by The Company or the whole order minus any items to be returned. In either case The Buyer will also be invoiced for the initial delivery of the order.

Returning any part of the order shall be at the sole expense of The Buyer.

Sale or Return is only offered on the first order. Any subsequent orders will be on the standard wholesale terms offered by The Company.
